21. INTRODUCTION
1.1 Penang is located on the north west coast of Peninsular Malaysia by the
Straits of Malacca. It comprises of two (2) main territories i.e. Penang
Island and Seberang Perai on the mainland. Penang Island covers an
area of approximately 300 square kilometers whereas Seberang Perai is
about 750 square kilometers. The population of Penang is about 1.52
million which is the highest population density in Malaysia.
1.2 Highly industrialised and considerably urbanised Penang contributes
significantly to the Malaysia's economic wealth apart from being a thriving
tourist destination. Being the third largest economy among the states in
Malaysia presently, Penang has experienced continued growth for
decades.
1.3 It is vital for Penang to enhance its infrastructure to sustain economically
well into the present century. To improve connectivity and meet the travel
demands, the State Government of Penang has outlined a series of road/
tunnel construction projects. Some of these projects are included in this
pre-qualification exercise.
2. BACKGROUND INFORMATION TO THE PRE-QUALIFICATION APPLICANTS
2.1 Purpose of Submission
2.1.1 This pre-qualification exercise is to select experienced, reliable and
committed companies with sound financial standing to undertake
these road and tunnel building and improvement projects from the
stage of feasibility study to execution.
32.1.2 The selected contractors from this pre-qualification exercise will be
subsequently allowed to participate in a Request for Proposal
(RFP) for the study, designing and implementation of the projects.
The projects may be divided into several parcels.
2.1.3 Several details have been specifically omitted in this prequalification exercise and will be included in the RFP document.
This pre-qualification exercise is only to shortlist companies for the
RFP.
2.2 General Scope Of Work
2.2.1 These projects will be divided into two (2) parts consisting of
Feasibilities Study and Preliminary Design as Part 1; and Detailed
Design and Construction as Part 2.
2.2.2 Part 1 entails project appraisal including traffic studies and site
investigations to draw up a preliminary design. Part 2 includes
Detailed Environment Impact Assessment (DEIA) and Approval of
Planning Permission; and construction.
2.3 Proposed Road/Tunnel Constructions Projects Site
2.3.1 Based on the present travel pattern and demand including the
increasing number of tourists arrivals, The State Government
foresees that the existing road network and capacity may not be
able to accommodate the generated traffic in the near future. It is
anticipated that traffic congestion will worsen at several critical
intersection and adjoining roads if steps are not taken from now to
improve traffic flow.
42.3.2 To relieve traffic congestion, the State Government proposes
alternative routes, inter-connecting roads, by-passes and
interchanges including tunnels within the island and to the
mainland. The identified proposals within the scope of this prequalification exercise which may be elevated roads, tunnels, at
grade roads or double decked roads are:-
i. A third link from Persiaran Gurney to Seberang Perai North
District.
ii. A by-pass to connect the northern fringes of George Town to
the eastern corridor of the island circumventing the Central
Business District. The probable alignment is from Persiaran
Gurney through Jalan Pangkor, Jalan Perak and Jalan
Sungai Pinang to Lebuhraya Tun Dr. Lim Chong Eu.
iii. A by-pass from Bandar Baru Air Hitam (Farlim) connected to
Lebuhraya Tun Dr. Lim Chong Eu close to the Penang
Bridge. This by-pass is proposed with several interchanges
i.e. at Bandar Baru Air Hitam, Jalan Yeap Chor Ee, Jalan
Sultan Azlan Shah and Lebuhraya Tun Dr. Lim Chong Eu.
iv. Paired road to the existing coastal road from Tanjung Bunga
to Teluk Bahang. Alignment of this road has been identified
and can be obtained from the State Government. Some
stretches of this road have been constructed.
2.3.3 Contractors are reminded that hill cutting and removal of trees
should be minimized or avoided. Usage of green technology and
environment friendly features will be an added advantage.
52.3.4 It is the State Government's plan to introduce transit corridors
including Light Rail Transit along the proposed alignment. The
contractors are expected to take into account of this need and give
due consideration for the provision of transit facilities.
2.3.5 The State Government reserves the right to discontinue or make
changes to the proposed projects during the Request for Proposal
or the tender stage.
2.3.6 Further information on the projects that are proposed to be
implemented will be provided in the RFP document.

3. FUNDING AND PAYMENT
3.1 No form of monetary payment or funding including pre-payments or
advance payments shall be provided by State Government of Penang for
the implementation of the projects. Costs incurred may be recovered
through toll, land swop or any other form which has to be indicated by the
Applicant. For this purpose, the Applicant shall provide a preliminary
financial proposal including financing structure and the costs incurred
(capital and operating expenditure); and proposals to recover costs.
3.2 Based on the present scope of works the Applicant shall provide prove
that funding can be obtained. Details of the source of funding and the
quantum involved shall be provided.
73.3 Details for the funding of these projects will be announced during the RFP
stage after considering the proposals made by the contractors.
3.4 As a general guide to the Applicant, the four (4) projects are estimated to
cost about RM5 to RM8 billion. A more conclusive cost can only be
determined after the feasibility study; and finalized after the DEIA.
Contractors shall provide the relevant information on the financial
proposal in Appendix B attached.
4. INSTRUCTION TO APPLICANTS
4.1 This Pre-Qualification exercise and the relevant Pre-Qualification
Documents shall not form part of any contract which may be proposed by
the State Government consequently.
4.2 Pre-Qualification exercise is open to the experienced and qualified
Malaysian contractors, foreign owned locally incorporated company,
foreign owned company and foreign contractors. Under the PreQualification exercise, the local contractors must be registered with the
Pusat Khidmat Kontraktor (PKK) as a Class A contractor (Head 1; Sub
Head 1 and 2 ) and/ or Construction Industry Development Board (CIDB)
Grade 7 (CE01 and CE02). Foreign owned company whether locally
incorporated or locally registered must be registered as CIDB contractor
Grade 7 (CE01 and CE02). Company(ies) must show prove that they have
experience in tunneling works.
4.3 For International Applicants who wish to participate in this PreQualification exercise, they shall possess experience in completing similar
nature of works and produce Certified True Copy of Company's
Incorporation Certificate that is certified by the relevant authority in country
8of origin. International Applicants who wish to participate in the subsequent
Request for Proposal NEED to obtain provisional registration with CIDB
Malaysia Grade 7 (CE01 and CE02). Foreign companies participating in
the Pre-Qualification are required to submit a letter from the respective
Embassy endorsing it is a Bona Fide company.
4.4 Applicants are allowed to form a Consortium or Joint venture with local
companies or foreign company locally incorporated or registered or
international company, PROVIDED THAT at least one member must be
registered as a contractor of PKK Class A (Head 1; Sub Head 1 and 2)
and / or CIDB Grade 7 (CE01 and CE02), The locally incorporated and
registered foreign owned company must comply with the requirements of
the Companies Commission of Malaysia (CCM) and CIDB.
4.5 Certified True Copies of the following documents as given below must be
submitted, failing which the contractor will not be considered for short
listing i.e.:-
i. PKK Class A (Head 1; Sub Head 1 and 2) and or CIDB Grade 7
(CE01 and CE02) registration for:-
a) local contractor
b) foreign owned company locally incorporated
c) foreign company locally registered
(Note: Foreign international companies that are selected under this PreQualification exercise need to obtain provisional registration with CIDB
Malaysia)
9ii. Memorandum and Articles of Association.
iii. The following Forms under the Companies Act.
a) Form 9  -  Certification of Incorporation
b) Form 13  -  Certification of Incorporation on change of
Name of Company
c) Form 20  -  Certification of Incorporation on conversion to
Public Company
d) Form 24  -  Return of Allotment of Share
e) From 44  -  Notice of Situation of Register Office and Office
            Hours and Particular of Change;
f) Form 49  -  Return Giving Particulars in Register of
Directors, Manager and Secretary and Change
of Particulars;
g) Form of Annual Return
h) Company's audited accounts for the past five (5) years
For a foreign company, the contractor must submit equivalent Forms of its
country of origin.
10 4.6 Companies that are interested in participating in this pre-qualification    
exercise must attend a briefing on the following date, time and venue :-

Company representatives attending the briefing must produce a
copy of certified registration/ qualification document as stated in
Paragraph 4.1 – 4.4 above. Companies that do not attend this
briefing will not be considered.
4.7 Applications for Pre-Qualification must be submitted on or before 12.00
noon on 14
th
January 2012 (hereinafter referred to as "Closing Date") to
State Economic Planning Unit's Office, Penang State Secretariat,
Level 26, KOMTAR, 10503 Penang, Malaysia. Any documents which are
received after the Closing Date will be considered late and the company
shall be rejected and disqualified.
4.8 The State Government reserves the right to reject or accept any
application, to annul the Pre-Qualification process and reject all
applications; and shall not be held liable by any parties participating in
the exercise.
114.9 All forms must be completed and signed on every page by the
participants. For a Joint Venture submission, all forms must be completed
and signed on every page by every partner companies.
4.10 All costs and / or expenses incurred by any participants in the preparation
and / or submission for this Pre-Qualification shall be borne by the
participants themselves.
5. PRE REQUISITES FOR THE PRE-QUALIFICATION
5.1  The Applicants must comply with the following pre requisites :-
i. Local Contractor; the participants must be registered with PKK
Class A (Head 1; Sub Head 1 and 2) and / or CIDB Grade 7 (CE01,
and CE02) .
ii. Foreign Owned Company Locally Incorporated; the participants
must be registered with CIDB Grade 7 (CE01 and CE02) .
iii. Foreign Owned Company Locally Registered; the participants must
be registered with CIDB Grade 7 (CE01 and CE02) .
iv. International Company; to provide the Company's Incorporation
Certificate which is certified in the country of origin. If selected
under this Pre-Qualification exercise the company needs to obtain
its provisional registration with CIDB of Malaysia.
5.2 All relevant documents under item (i) to (iv) above shall be certified true
copies (by the Company Secretary) as in Paragraph 4.5.
126. PRE-Q EVALUATION PROCESS AND CRITERIA
6.1 The State Government reserves the right to waive minor deviations in the
applications if they do not substantially affect the capability of the
Applicants to meet the conditions set forth.
6.2  Stage 1 – Preliminary Screening
6.2.1 Adequacy and completeness of submitted Pre-Qualification
Documents will be checked item by item. If the Applicant fails to
submit the following documents and items specified in the previous
paragraphs, the application may not be considered for evaluation.
i. Form A - Letter of Application
ii. Form B - Particulars of Organisation
iii. Form C - Particulars of Finance
iv. Form D - Particulars of Experiences
v. Form E - Key Personnel
vi. Form F - Plant and Equipment
6.3  Stage 2 – Assessment of Mandatory Criteria
6.3.1 Pre-Qualification applications will be examined based on pass / fail
method for the Mandatory criteria as follows.
13i.  Financial Requirements
Individual Participant or Lead Partners are also required to
furnish proof that its:-
a)  Paid up Capital or Shareholders' Fund* (based on
latest financial year) must not be less than 6% of
the value of project undertaken (provided that the
Shareholders' Fund is the higher of the two). The
sum shall not be less than RM300 million.
b)  Average Net Profit / Turnover Ratio the last five (5)
years must also be positive.
Please refer to Form C (Particular of Finance) for
detailed requirements as specified.
Note (*) The Shareholders' Fund is defined as Paid
Up Capital plus Retained Earnings.
ii. Track Record
The Applicant must be able to demonstrate that:-
a) At least two (2) large scale (Design & Build) projects
of at least RM500 million each in contract value which
are being undertaken or have been successfully
completed in the last 10 years. Experience in
underwater tunneling projects will be an added
advantage.
14b) At least one (1) highway construction project of at
least RM500 million in contract value which is being
carried out or has been successfully completed in the
last 10 years.
c) At least one (1) tunneling project which is being
constructed or has been successfully completed in
the last ten years using Tunnel Boring Machine (TBM)
or any other suitable method and meeting the
following:-
• At least RM500 million in contract value; and
• Larger than six (6) meter internal diameter
tunnel for a length of at least three (3)
kilometres.
Please refer to Form D (Particular of Experience) for
detailed requirements as specified.
iii.  Experience of Existing Key Personnel
Within its organization, an Individual Participant or Lead
Partner must possess qualified personnel who have
experience in highways and tunneling projects for the
following key positions:-
a) Three (3) Project Managers for highway works;
• at least 20 years experience in highway
projects; and
15• at least 10 years experience as Project
Manager in highway projects including
elevated highway projects.
b) One (1) Project Manager for tunneling works;
• at least 10 years experience in tunneling
projects; and
• at least five (5) years experience as Project
Manager in tunneling projects using TBM or
any other suitable method. Experience in
underwater tunneling projects will be an added
advantage.
c) One (1) Tunnel Manager;
• at least 10 years experience in tunneling
projects;
• at least five (5) years experience as Tunnel
Manager in tunneling projects using TBM or
any other suitable method. Experience in
underwater tunneling projects will be an added
advantage.
Please refer to following Form E – for detailed
requirements as specified:-
16• Form E – Existing Key Personnel (to
comply with  paragraph 6.3.1 (iii) ); and
• Form E – Existing Key Personnel C.V.
(to comply with paragraph 6.3.1 (iii) ).
Each and every key personnel as identified in
Paragraph 6.3.1 (iii), (a) to (c) above are
required to be proficient in English Language.
7. SUBMISSION
7.1 The Application Form and Questionnaire Pro-forma shall be completed
and returned in a sealed envelope clearly marked at the top-right-handcorner of the parcel as:-

Applicants are requested to insert the sealed envelope into the PreQualification Document Box: PSUKPP/UPEN/PRE-Q/1/2011 at the
State Economic Planning Unit's Office, Penang State Secretariat,
Level 26, KOMTAR, 10503 Penang, Malaysia not later than the time
and date stipulated in the Notice of Pre-Qualification to Tender.
7.2 All answer in the returned form must be substantiated by documentary
evidence in each case.
7.3 The State Government will not enter into correspondence with any
applicant relating to pre-qualification except to seek any clarification where
necessary.
7.4 This pre-qualification registration does not guarantee that the contractors
will be invited to tender and no reasons will be given for the rejection of
any applicant.
7.5 The State Government shall not be liable for the reimbursement of any
expenses or loss incurred in this pre-qualification registration exercise.
7.6 Firms that have been successfully pre-qualified to tender for the works will
be notified.
187.7 All applicants must complete the attached appendices and forms
accordingly. Company(ies) must show prove that they have experience in
tunneling works.
7.8 Answers shall be given lucidly to all questions in the Questionnaire.
Should space be insufficient in the forms, applicants are requested to
provide supplementary sheets. Each additional sheet shall be duly signed
by the applicant or such person or persons duly authorised to sign on
behalf of the applicant. Such authorisation shall be indicated by a written
power-of-attorney accompanying the applicants.
7.9 Please do not leave any item BLANK. If items do not apply, state "Not
Applicable" or "Nil". If insufficient space is provided for your answer, attach
an Appendix to the Questionnaire. Please ensure that all Appendices
attached are properly cross-referenced.
7.10 All applicants may submit any other exhibits they wish as further
Appendices to the Questionnaire.
7.11 All items submitted with the Questionnaire are non-returnable.
7.12 All monetary values inserted in the Questionnaire should be in Ringgit
Malaysia.
7.13 All questions in the Questionnaire must be answered in the manner
described. Answers such as "Refer to Appendix "I" of which is in the
applicant's own format or "Refer to Catalogue/Company Brochure
attached" are not acceptable.
7.14 When two or more applicants intend to tender as a Joint Venture or in
Consortium, the application shall be accompanied by a Joint Venture or
19Consortium Agreement or a letter of agreement stating their intention to
participate as a Joint Venture or Consortium. Each applicant of the
proposed Joint Venture/Consortium shall be required to furnish the details
of their company respectively in separate Questionnaire Pro-forma.
7.15 There shall be a term in the Joint Venture or Consortium Agreement which
states that all partners and members to the Joint Venture or in Consortium
shall be jointly and severally liable. However, applicant is to indicate the
apportionment of liabilities of each Joint Venture or Consortium partners or
members. If partners or members to the Joint Venture or in Consortium
include subsidiaries or associated companies, please provide parental
guarantees from the Holdings/Principal/Parent Company.
7.16 Failure to comply with any of the above instructions shall render the
application liable to rejection.
7.17 Upon qualifying the pre-qualification process, the successful contractors
will be required to prepare and submit a conceptual proposal on the above
project, within the dateline determined by the state government.
8. TERMS AND CONDITIONS
8.1 Applicants are invited to submit their pre-qualification according to the
requirements contained in this document.  Any failure to provide all the
information / documents specified may result in rejection of the prequalification or giving it a lower rating. Company(ies) must show prove that
they have experience in tunneling works.
208.2 Applicants shall bear all costs associated with the preparation and
submission of its Pre-Qualification Documents which must be delivered on
or before 12.00 noon on 14
th
January 2012.
8.3 Applicants are required to submit RM1,000.00 (Ringgit Malaysia One
Thousand Only) by way of bankers cheque / postal order as processing
fee to the Bendahari Negeri Pulau Pinang when submitting the PreQualification. Personal cheque and company cheque is not acceptable.
This amount is not refundable unless UPEN decides to cancel the project.
8.4 Pre-Qualification documents received after the closing date and time will
not be entertained.
8.5 The Pre-Qualification must be signed by an official who is authorised to
act on behalf of the organisation that is submitting the Pre-Qualification.
8.6 Applicants are required to sign the Integrity Pact Declaration Form as per
Appendix D1 and D2.
8.7 Companies participating in this exercise may either submit PreQualification on their own or in collaboration with others. However, the role
and responsibility of each company must be clearly stated.
8.8 No amendments shall be made to the Pre-Qualification after its
submission.  
8.9 UPEN has the absolute discretion to accept or reject the submitted PreQualification and is not obligated in any way to award the project to the
person(s) and or company (ies) submitting the pre-qualification. UPEN is
not required to provide any reason whatsoever.
218.10 All submission shall be valid for six (6) months from the closing date of this
invitation but UPEN reserves the right to extend the validity period by
another three (3) months by giving notice to the respondents.
8.11 Only shortlisted and/or successful company (ies) responding to this PreQualification will be notified of their status and will be invited to participate
in Request for Proposal (RFP). There will be no notification of status of the
award to unsuccessful company(ies).
8.12 UPEN is not obliged to inform or provide details of the selection process to
either successful or unsuccessful participants.
8.13 Whilst care is taken to ensure that the facts and information contained in
this Pre-Qualification are correct at the time it is presented, UPEN hereby
makes no representation as to the accuracy and adequacy of such facts
and information contained in the Pre-Qualification. UPEN shall not be
liable for any inaccuracy or inadequacy of such facts and information.
